Terms of service

The ground rules for the site, the portal, and the systems we build and run for you, including what has to be true before a message goes out in your name.

Last updated October 4, 2026.

What these terms cover

These terms apply to this website, to the client portal, and to the work Brayton Pryce does for clients. By using the site or the portal, or by engaging us, you agree to them.

When a client engages us, the written plan and the agreement they sign set the price, the timeline, what is included and the notice period. If anything on this page and that agreement differ, the agreement wins.

Using the website

The site describes what we do. The case study reports audited figures from a real engagement, and says so. Every other number on the site is an example to show how something works, not a promise of what your business will see.

Nothing here is legal, tax or financial advice. Use the site as it is meant to be used: do not try to break into it, scrape it, overload it or use it to send anything unlawful.

How an engagement works

It starts with a free review of about two weeks inside your systems and your books. It ends with a written plan, a build fee and a monthly amount, before you decide anything. If we think the problem is not worth fixing, we say so and suggest who to call instead.

After that there is a fee to build what the plan describes and a monthly retainer to run it, improve it and fix what breaks. Either side can end the retainer with the notice period in the agreement. Fees already paid for work already done are not refunded.

Your business data stays yours, and you can remove our access to your own accounts at any time. Who owns the software, tools and methods used in an engagement, and how you may use them, is set out in your agreement. We never reuse your data.

What we need from you

  • Access to the systems the plan covers, through accounts you own and control.
  • Accurate information about your business, your customers and how you got their details.
  • Someone who can answer questions and make decisions within a few days, so the work keeps moving.
  • Payment on the dates in the agreement.

Texting and email on your behalf

Where we build a system that sends texts or emails to your customers, you are the sender of record and the messages go from your own numbers and accounts. These rules apply, and we build the system to enforce them.

  • You confirm that everyone the system messages gave you permission to contact them in that way, and that you can show it. Customers, callers, people who booked or wrote in count. Bought, rented or scraped lists do not, and we will not load one.
  • You follow the laws that apply to business messaging where you and your customers are, including the United States rules on automated texts and commercial email, and the carriers' messaging rules. We build to those rules, but the responsibility for consent is yours.
  • Every text identifies your business and offers a way to stop. Every marketing email carries an unsubscribe link. Opt-outs are honored at once and recorded. You will not ask us to remove or work around either.
  • Messages are truthful, say what they are, and are sent at reasonable hours. Nothing deceptive, nothing illegal, nothing the recipient would not expect from you.
  • You register your business and its numbers with the carriers where that is required, and keep the information current. We help with the filing.
  • If complaints, carrier blocks or a legal problem appear, we may pause sending until it is resolved, and we will tell you why the same day.

You are responsible for the content and the recipients of messages sent in your name, and for any claim that arises from them, except where the claim comes from our own mistake.

AI that works on its own

Some systems we build use AI to answer, sort, schedule and chase on their own. Each one runs inside limits you set: what it may do without asking, what it must hold for your tap, and a cap on what it can spend. You can tighten those limits at any time.

AI makes mistakes. We build checks around it and show you what it did, but you remain responsible for the decisions your business makes with its help, and you should review what matters.

The client portal

Accounts are created by invitation. Keep your password to yourself, use a strong one, and tell us at once if you think someone else has used your account. You may only look at the organization you belong to.

The figures in the portal come from your own system's hourly feed. If that feed is late or broken the portal says so. The figures are for running your business, and your books remain the record.

What we promise, and what we do not

We promise to do the work described in the plan with care and skill, to keep your data as the privacy policy describes, and to fix what we broke. We do not promise a particular sales number, a particular return, or that any third-party service we connect to will keep working as it does today.

To the extent the law allows, our total liability for anything arising from an engagement is limited to the fees you paid us in the twelve months before the claim, and neither side is liable to the other for indirect losses such as lost profit. Nothing here limits liability for fraud or for anything the law does not allow to be limited.

The law that applies

These terms are governed by the laws of the United States and of the state named in your agreement. Disputes are settled first by a conversation. If that fails, the courts of that state have jurisdiction.

Changes to these terms

If these terms change in a way that matters, the date at the top changes and clients hear about it directly. Continuing to use the site or the portal after a change means you accept it. An engagement already under way stays on the terms it started with unless we both agree otherwise.

Questions about any of this go through the contact page. You get a reply from a person.
